Welcome to Volidator. By accessing or using our websites, dashboard, applications, APIs, or software SDKs (collectively, the "Services"), you agree to be bound by these Terms of Service. Please read them carefully.

These Terms of Service constitute a legally binding agreement between Volidator ("Volidator," "we," "our," or "us"), operated from India, and you, whether personally or on behalf of an entity you represent ("Customer" or "you"). If you do not agree to all of these terms, you are prohibited from using the Services.

1. Acceptance of Terms & Eligibility

By creating an account, subscribing to a plan, or integrating our SDKs, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal authority to bind your organization to this Agreement. Your agreement to these terms incorporates our Privacy Policy and, if applicable, any Data Processing Agreement (DPA) or Business Associate Agreement (BAA) executed between us.

2. Services and Account Registration

  • Account Credentials: To access the Dashboard and API, you must register for an account. We support and encourage passwordless authentication using WebAuthn Passkeys.
  • Security Responsibility: You are solely responsible for maintaining the confidentiality of your session credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your credentials or breach of security.

3. Zero-Knowledge Architecture & Key Management

  • Customer Control: You acknowledge that the Services utilize End-to-End Encryption (E2EE). Ingestion logs are encrypted client-side using AES-GCM prior to being transmitted to our servers.
  • Key Access Disclaimer: Volidator does not store, possess, or have access to your encryption keys (including Master Keys and Key Encryption Keys).
  • Irreversible Loss: If you lose your encryption keys or recovery mechanisms, your data is irreversibly lost. Volidator has no ability to recover or restore encrypted logs, and Volidator disclaims all liability for data loss resulting from lost keys.

4. Subscription, Billing, and Overages

  • Billing Terms: Subscription tiers are billed in advance on a monthly or annual cycle. All fees are non-refundable unless otherwise required by law.
  • Quota & Overages: Each tier is subject to specific log volume quotas and retention limits. If you exceed your log volume quota, we reserve the right to throttle ingestion or automatically upgrade your organization to the appropriate subscription tier, subject to prior notification.
  • Taxes: All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of all such taxes.

5. Intellectual Property Rights

  • Customer Data: As between the parties, you retain all ownership, title, and intellectual property rights in and to the data you ingest via our API ("Customer Data"). You grant Volidator a limited, non-exclusive license to host, process, and transmit Customer Data solely to provide and maintain the Services.
  • Volidator Intellectual Property: Volidator retains all right, title, and interest in and to the Services, including all source code, software packages, Dashboard interfaces, logos, designs, and documentation. You may not copy, modify, distribute, or create derivative works of any part of the Services.

6. Acceptable Use Policy (AUP) & Termination

  • Usage Restrictions: You agree not to:
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any proprietary components of the Volidator platform.
  • Attempt to bypass security measures, rate limits, or multi-tenant isolation controls.
  • Use the Services to store or log illegal, infringing, or extremely hazardous material.
  • Illegal Activities: You explicitly agree not to use the Services in connection with any illegal activities, including but not limited to child sexual abuse material (CSAM), terrorism, human trafficking, or the operation of malicious botnets.
  • Suspension and Termination: Volidator reserves the right to suspend or terminate your account and block API access if we discover (via access telemetry, billing indicators, public reports, or law enforcement inquiries) that you are using the Services for illegal activities or in violation of this AUP.

7. Regulatory Compliance Disclaimer

  • Infrastructure Only: Volidator provides cryptographic infrastructure to assist Customers in recording verifiable audit trails.
  • Customer Responsibility: The Customer remains solely responsible for ensuring that their own application, data ingestion patterns, and user consent mechanisms comply with all applicable regulations (e.g., HIPAA, SOC2, GDPR, or the EU AI Act).
  • No Legal Warranties: Volidator does not guarantee, warrant, or represent that the use of our Services ensures your compliance with any legal or regulatory framework.

8. Data Deletion Post-Termination

  • Deletion Timeline: Upon expiration, cancellation, or termination of your subscription, all encrypted Customer Data hosted on our infrastructure will be permanently and irreversibly deleted within thirty (30) days.
  • Data Export: You are solely responsible for downloading or exporting your audit logs prior to account termination. Volidator has no obligation to maintain or transfer logs following the expiration of the deletion window.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VOLIDATOR DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOLIDATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR USE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE TOTAL AMOUNT YOU PAID TO VOLIDATOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

  • By Customer: You agree to indemnify, defend, and hold harmless Volidator from and against any claims, losses, or liabilities arising out of your violation of these Terms of Service, your misuse of the Services, or your ingestion of illegal data.
  • By Volidator: Volidator will defend and indemnify Customer against third-party claims that the Services infringe on a third-party intellectual property right, provided Customer promptly notifies Volidator of the claim and grants Volidator sole control over the defense.

12. Governing Law and Dispute Resolution

  • Governing Law: These Terms of Service are governed by and construed in accordance with the laws of India, without reference to conflict of laws principles.
  • Dispute Resolution & Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, including its formation, breach, or termination, shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat and venue of the arbitration shall be in India, and the language of the proceedings shall be English.
  • Class Action Waiver: You and Volidator agree that any proceedings will be conducted solely on an individual basis. Neither party will seek to have any dispute heard as a class action or in any representative proceeding.

13. Updates to Terms

We may update these Terms of Service from time to time. If we make material updates, we will notify you by updating the "Last Updated" date at the top of these terms and, where appropriate, sending an email notice to the administrator of your workspace. Your continued use of the Services after updates become effective constitutes your acceptance of the updated terms.
